+++ Announcement of the Board of Directors of INTRACOM +++

The Board of Directors of INTRACOM announces the resignation of Mr. Ê. Dimitriadis from the position of Vice President of the Company as well as from the positions he held in the management of other significant companies of the INTRACOM Group.

Mr. Dimitriadis' intention to resign was already known by the Management of the INTRACOM Group of Companies, however it was materialised exclusively at his own initiative and desire.

Mr. Dimitriadis, who was among the Company's founders and who determinately contributed to its development and brilliant growth will remain at its side as one of the major shareholders and factors.

The President and the Members of the Board of Directors of INTRACOM fully acknowledge
Mr. Dimitriadis' work and warmly thank him for his great and decisive contribution in the development and growth of the INTRACOM Group of Companies.

Mr. K. DIMITRIADIS' Statement

Following the recent resolutions and developments concerning the Management of INTRACOM and of the Group in general, I believe that my further active participation in INTRACOM as well as in the management of the Group's other companies is no longer necessary.

Therefore, I took the decision, which was not easy, but which had been on my mind for quite some time - to resign from the positions I held in the management of the Group's large companies, thus facilitating the promotion of new, competent managers.

Regardless of this development, I will remain one of the major shareholders of the company and I will support its further course.

This decision is not only based on the obvious sentimental reasons, but also because I am certain that the Company's first rate infrastructure in combination with the excellent work ethic and competence among its management at all levels, and the accumulated technical expertise - both the result of tireless collective work spanning almost 30 years - provide unquestionable guarantees for its positive future prospects.
