+++ Decisions of the Extraordinary General
Assembly of INTRACOM Shareholders on the 9th of November,
2004 +++
The Extraordinary General Assembly
of INTRACOM Shareholders, resolved upon all matters
of the 14.10.2004 Agenda, with the exception of matters
1 and 2 for which a majority vote of two thirds is required.
Specifically, at the aforementioned
Shareholders General Assembly, the shareholders present
represented approximately 36,36% of the total of the
Company's Common Registered Shares with voting rights.
The General Assembly of shareholders
will convene to a first Follow-up session to decide
upon the 1st and 2nd matters of the 14.10.2004 Agenda,
following an invitation by the Company Board of Directors,
within the period of time provided for by the C.L. 2190/20.
On the rest of the matters of the 14.10.2004 Agenda
called for by the Board of Directors the Extraordinary
General Assembly resolved as follows:
On the third matter, the Assembly
unanimously approved the extension by two years, that
is until 31.12.2006, of the investing programme of disposal
of funds drawn by the takeover of INTRASOFT S.A. and
the re-disposal of a total of € 33,084 thousand,
on the following investment categories, already approved
by the Stock Exchange:
- Category 6 : Working capital requirements.....€ 24.500 thousand
- Category 8 : Software and Know-how.............
€ 8.584 thousand

change € 33.084 thousand
The above total results from a corresponding
reduction of the following investment categories:
- "Equity share in companies
of the same sector, Domestic and Foreign", by
an amount of € 18.795 thousand.
- "Entrance into new sectors
of high technology", by an amount of €
9.624 thousand.
- "Financing of investments with
the intention of creation and development of new software
products", by an amount of € 2.177 thousand, and finally
- "Share capital increase for
the subsidiary companies' ", by an amount of
€ 2.488 thousand.
On the fourth matter, the Assembly
unanimously granted permission, according to article
23a C.L 2190/20, in order for INTRACOM to buy from INTRAPAR
the percentage of its participation in INTRASOFT INTERNATIONAL,
following an evaluation of the company by an international
house.
Finally, Mr. Deligiannis, Managing Director of the Company,
made announcements on the progress of the Company and
Group of Companies in 2004 (relevant Press Release).
