+++ Announcement of agreement on the purchase of 18,04%
of FORTHNET +++
INTRACOM announces that it has, today, agreed with the
company "Minoan Lines S.A.", on the purchase of three million
thirty nine thousand six hundred and sixty three (3.039.663) Common Registered
shares with voting rights of the company "FORTHNET S.A.", an
amount representing 18,04% of the total share capital and voting rights
of FORTHNET S.A., at a price of five euros and two cents (€ 5,02)
per share.
The completion of this transaction and the transfer
of the aforementioned shares from Minoan Lines S.A. to INTRACOM will take
place, provided that no shareholder of FORTHNET S.A. exercises the right
of first refusal within three (3) working days from today.
Should three (3) working days go past without the exercise
of such a right, the transaction will be completed via "manual block
trade" at the Athens Exchange, according to statutory regulations.
