THE SPIN-OFF OF THE

AND THE CHANGE OF THE
COMPANY'S ACTIVITY +++
INTRACOM HOLDINGS S.A. announces that the prospectus
that was drawn up for the
spin-off of the Ôelecom Solutions, Defense Electronic Systems and IT Services
sectors as well as for the change of the company's activity, in accordance
with the provisions of Article 287 of the ATHEX Regulation, as the Athens
Exchange Board of Directors was informed during its session on 02/03/2006,
will be distributed to the investing public as from Wednesday, March 8,
2006, at the following places:
a) The registered offices of ATHEX (10,
Sofocleous Str., Athens, Greece),
b) the premises of the Athens Exchange
Members' Association (SMEHA - 14-16, Fidiou Str., Athens, Greece),
c)
the briefing room of the subscribers - investing public of the ATHEX (1
Asklipiou & Akadimias Str. - Athens, Greece) and
d) the headquarters
of the company in Peania, Attica (19th Klm, Markopoulo Avenue). In addition,
the aforesaid Prospectus will be posted on the webpage of the company
(www.intracom.gr) as well as on the webpage of the ATHEX (www.ase.gr).
